Board members are the stewards of a business, responsible for maximizing its value for the benefit of shareholders. They represent investors and play a crucial role that can determine the success or failure of the company. But how can they effectively fulfill this often-challenging role? How can they ensure that the dynamics within the boardroom are highly functional? And how can they embrace accountability, even without direct operational responsibility?
Upon completion of this course, students will be able to describe the roles and responsibilities of corporate boards and board membership, understand how board members are selected and compensated, and know how they can protect themselves. The course will also cover how directors can and must collaborate to be effective and what is required of them during key moments, such as fundraising, CEO replacement, bankruptcy, company sale, and IPO. The course focuses specifically on the role of board members in fast-growing startup companies, from the early stage through growth and expansion to exit. It combines lectures, high-profile guest speakers, and practical examples. It is intended for professionals preparing to join the board of privately held startups, founders establishing their first board of directors, newly appointed board members of such companies, and experienced board members seeking to become more effective and resourceful.

MATTHIAS WEBER
Partner, Mighty Capital
Matthias Weber is a partner at Mighty Capital, a venture capital firm based in San Francisco. He is an experienced board member of both early-stage and mature companies. As a lifelong student of board governance, he has instructed board-ready executives on this topic. Previously, he served as chief underwriting officer and as a member of the group executive committee of Swiss Re. Weber received an MS in physics and a PhD in natural sciences from the Swiss Federal Institute of Technology (ETH) in Zurich. Textbooks for this course:
