Every startup must have a board of directors. How effective and useful the board is to the CEO, employees, vendors, customers, and investors depends on how qualified and trained the people on the board are and how well they work together. Board members are the ones who make the most important financing, hiring, scaling, exiting, and ethical decisions for every startup. Startup failures are frequently attributed to decisions that the board of directors did or did not make.

Although the board of directors has a great deal of power, there are also personal liabilities. This course will help current and potential board members of startups become more aware of the rules, tools, and resources they have to do their jobs.

In this course, we will break down the job into understandable pieces. Each class meeting will be a combination of instructor lecture and guest speakers, and topics will include compensation issues, hiring and firing, financing decisions, bankruptcy, M&A, and IPO exits. Whether you are the founder of a company just setting up your first board of directors or you are an experienced board member with years of startup service, this course will help you be a more effective and resourceful member of the board of directors.
