Legal and regulatory considerations continually arise as companies scale. Fortunately, many of these are similar across industries and technologies. By understanding the kinds of basic legal issues that every growing company faces, you will be able to save yourself and your company headaches and unanticipated costs. Each week this course will concentrate on a particular legal topic: contracts and partnerships; intellectual property; privacy and cybersecurity law; regulatory and consumer protection; employment law; and a final topic the class chooses.

Throughout the course, we will consider trade-offs you might face in strategy and tactics, and we will use small-group interactive “issue spotter” exercises to discuss risks and paths. You’ll hear stories of what worked and what didn’t for companies facing legal issues, and practical tips that you can use right away. We will also discuss recent lawsuits and decisions like Oracle v. Google or the rideshare companies' challenges to California’s AB5 rule on contractor classification.

Whether you are an entrepreneur, a business leader, or you work in technology, you’ll come away with tools and frameworks to help decision-making on issues that matter for your company, and you’ll get a clearer sense of when you to seek counsel.

Cecilia Ziniti is a lawyer for technology companies and startups. She has been in-house counsel at Amazon and Cruise and general counsel for two venture-backed companies. Ziniti specializes in advising on intellectual property, raising venture capital, privacy, financial product regulatory, and autonomous-vehicle regulation, among other issues. Earlier, she was a litigator at Morrison & Foerster, and she received a JD from UC Berkeley.
