This course is for executives who wish to gain an understanding of mergers and acquisitions for the purpose of selling a company or becoming a valuable member of a deal team, an integration team, or an advisory group. Students will explore the principles and strategies of corporate mergers and acquisitions and obtain a clear understanding of the tools, strategies, and processes that dealmakers use to achieve their strategic and financial objectives and execute middle-market transactions. Students will also learn effective acquisition-planning processes; valuation approaches from both the buy side and sell side; techniques for working with attorneys, accountants, and investment bankers; and strategies to lead a transaction through the letter of intent, due diligence, closing, and integration stages. By the end of the course, students will be able to determine the strategic rationale for considering a merger or an acquisition; negotiate deal structures while taking into account tax, valuation, legal, and business terms; and understand how to avoid common pitfalls encountered during due diligence and purchase agreement drafting.
